Please read this Disclaimer and Legal Notices page ("Disclaimer") carefully before using the Trade License HQ platform and services ("Services"). By accessing or using the Services, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by this Disclaimer. If you do not agree, do not access or use the Services.

This Disclaimer is issued by Ritt & Royce, doing business as Ritt & Royce and Trade License HQ ("Trade License HQ," "we," "us," or "our"), a company organized and operating under the laws of the State of Michigan, United States. This Disclaimer supplements and is incorporated into Trade License HQ's Terms of Service and Privacy Policy. Capitalized terms not defined herein have the meanings given to them in the Terms of Service.

1. Not Legal Advice

Trade License HQ is a compliance tracking and management tool. It is not a law firm, and it does not provide legal advice, regulatory guidance, or professional compliance consulting of any kind.

The Services are designed to help trade businesses — including electricians, plumbers, general contractors, and similar professionals — organize, store, track, and monitor employee licences, certifications, and job-site permit data in one place. The Services perform administrative and organizational functions only.

Nothing contained in the Services, including any content, feature, report, dashboard, alert, template, automated or AI-processed output, or other output produced by or through the Services, constitutes or should be construed as:

Legal advice or a legal opinion;
Regulatory guidance or an interpretation of any federal, state, local, or municipal statute, ordinance, regulation, rule, or code;
A determination of whether your business, employees, subcontractors, or job sites are in compliance with any applicable legal requirement;
A recommendation to take or refrain from taking any particular action with respect to your business's licensing, certification, or permitting obligations; or
A substitute for the advice of a qualified attorney, licensed compliance professional, or other subject matter expert.

Trade License HQ does not employ attorneys, compliance officers, or regulatory specialists in connection with the Services. No attorney-client relationship is formed between you and Trade License HQ at any time through your use of the Services.

You should always consult a qualified attorney or compliance professional for specific legal questions, regulatory interpretations, or compliance determinations relevant to your business, trade, jurisdiction, and circumstances.

2. No Compliance Guarantee

Use of Trade License HQ does not guarantee, ensure, or certify that your business, employees, subcontractors, or job sites are in compliance with any applicable federal, state, county, municipal, or local law, regulation, ordinance, rule, or code.

Licensing, certification, and permitting requirements for trade businesses vary significantly by:

U.S. state and territory;
County, city, and municipality;
Specific trade or specialty (e.g., electrical, plumbing, HVAC, general contracting);
License type and classification;
Project type, scope, and value;
Applicable building codes and inspection requirements; and
Applicable federal programs and requirements (e.g., OSHA standards).

These requirements change frequently and without advance notice. Trade License HQ does not monitor, track, or update the Services to reflect changes in applicable laws or regulations, and makes no representation that the Services reflect current legal requirements in any jurisdiction.

It is your sole and exclusive responsibility to:

Independently determine all licensing, certification, and permitting requirements applicable to your business, employees, subcontractors, and projects;
Ensure that all required licences, certifications, and permits are validly obtained, current, and in good standing;
Verify the authenticity and validity of all licences, certifications, and permits held by or submitted on behalf of your employees and subcontractors; and
Monitor for and comply with changes in applicable laws, regulations, and requirements.

Trade License HQ is not liable for any fines, penalties, citations, stop-work orders, license suspensions or revocations, business interruptions, project delays, lawsuits, damages, or other losses of any kind resulting from any compliance failure, regulatory violation, or failure to obtain or renew any required licence, certification, or permit, regardless of whether you relied on the Services, any feature of the Services, or any information displayed within the Services in connection with such compliance failure.

3. Accuracy of Data

Trade License HQ displays data that you and your authorized users input into the Services. We do not independently verify, validate, authenticate, or confirm the accuracy, completeness, currency, or authenticity of any information, licence, certification, permit, or document entered into or uploaded to the Services.

Specifically:

We do not verify that any licence or certification number is genuine, valid, or in good standing with any issuing authority;
We do not verify that any permit has been properly issued, remains active, or has not been revoked, suspended, or modified;
We do not authenticate the identity of any individual whose information is entered into or uploaded to the Services;
We do not confirm that uploaded documents (including PDF, JPG, and PNG files) are genuine, unaltered, or legally valid;
We do not cross-reference any data entered into the Services with official government or regulatory databases, unless such a feature is explicitly and separately described in the Services' current feature documentation.

You are solely responsible for ensuring that all data entered into the Services is accurate, complete, current, and authentic. Errors or omissions in data entered by you or your authorized users are your responsibility. Trade License HQ assumes no liability for any decision made or action taken (or not taken) based on inaccurate, incomplete, or fraudulent data stored in the Services.

4. OCR Accuracy Disclaimer

The Services include an optical character recognition ("OCR") feature that automatically extracts text and data fields — including expiry dates, licence numbers, issuing authority information, and other details — from documents uploaded by you or your authorized users (including PDF, JPG, and PNG files).

Important limitations of the OCR feature:

4.1 Technology Used. The OCR feature in the Services is powered by Tesseract.js, an open-source OCR engine that runs entirely within your web browser on your local device. OCR processing occurs locally on your device; the underlying document image is not transmitted to Trade License HQ's servers unless and until you review the OCR-extracted data and explicitly confirm it for upload and storage.

4.2 OCR Is Not 100% Accurate. OCR technology is inherently imperfect. Extraction accuracy depends on factors including document quality, scan resolution, font type and size, document formatting, image orientation, lighting conditions, and the complexity of the document layout. OCR may produce errors including, without limitation: misread characters, incorrect numbers, missing fields, reversed or transposed digits, incorrect date formats, and omitted or duplicated text.

4.3 Critical Data May Be Extracted Incorrectly. Fields that are critical to compliance — including licence expiry dates, licence numbers, and permit identifiers — may be extracted incorrectly by the OCR engine. An incorrect expiry date, if confirmed without verification, may cause the Services to display and send reminders based on wrong dates, potentially leading to missed renewals and compliance failures.

4.4 Mandatory Review Obligation. Before confirming any OCR-extracted data, you MUST carefully review all extracted fields in their entirety and verify their accuracy against the original source document. Do not confirm OCR-extracted data without verification. By clicking the confirmation button following OCR extraction, you represent and warrant that you have reviewed and verified the accuracy of all extracted information.

4.5 No Liability for OCR Errors. Trade License HQ is not liable for any errors, omissions, or inaccuracies in OCR-extracted information, regardless of the cause, including technology limitations, document quality issues, or user error in confirming unreviewed data. Trade License HQ is not liable for any compliance failure, missed expiry date, missed renewal, fine, penalty, or other loss resulting from inaccurate OCR-extracted information that was confirmed and stored in the Services.

5. AI and Automated Processing Notice

Trade License HQ does not currently offer any artificial intelligence (AI)-powered features directly to users through the platform interface. However, Ritt & Royce d/b/a Trade License HQ reserves the right to use AI tools, automated processing systems, or machine learning technologies internally in connection with the processing, review, analysis, storage, or management of data and materials submitted to or through the Service. Such use may include, but is not limited to, internal document review, data quality analysis, system operations, or service improvement activities.

Additionally, we may introduce AI-powered features accessible to users in the future. If and when such features are introduced, we will update these policies and provide appropriate notice.

By using the Service, you acknowledge and consent to the potential use of AI and automated tools in the internal processing of your data and materials as described above. We do not guarantee the accuracy of any AI-generated or automated output. You are solely responsible for reviewing and verifying all results produced by the Service.

6. Email Reminder Disclaimer

The Services include an automated email reminder system that sends notification emails to designated recipients at approximately 90, 60, and 30 days before the expiry dates of tracked licences, certifications, and permits, based on the data stored in your account.

Important limitations of the email reminder feature:

6.1 Delivery Is Not Guaranteed. Email delivery is dependent on third-party email delivery services (currently SendGrid, operated by Twilio Inc.) and on factors outside our control, including the policies and configurations of recipient email servers, internet service providers, and corporate email filters. We do not guarantee that any reminder email will be delivered to any recipient's inbox at any particular time or at all.

6.2 Emails May Be Delayed, Filtered, or Blocked. Reminder emails may be delayed, filtered into spam or junk folders, blocked by recipient email systems, or otherwise fail to reach the intended recipient, without any notice or error notification to Trade License HQ or to you.

6.3 Reminders Are Based on Your Data. Reminder emails are generated based on expiry dates stored in your account. If stored expiry dates are incorrect — for example, due to OCR extraction errors that were not corrected, or data entry errors — reminder emails may be sent based on incorrect dates, or may not be sent at all with respect to an item whose expiry date was not correctly entered.

6.4 Do Not Rely Solely on Reminder Emails. You should not rely on Trade License HQ reminder emails as your only method of monitoring licence, certification, and permit expiry dates. You should maintain independent tracking systems and processes and regularly log in to the Services to review your compliance dashboard directly.

6.5 No Liability for Missed or Undelivered Reminders. Trade License HQ is not liable for any compliance failure, missed renewal, fine, penalty, license suspension or revocation, project shutdown, or other loss resulting from the failure of any reminder email to be delivered, received, or acted upon by any recipient, for any reason.

7. Third-Party Services

The Services integrate with and rely upon certain third-party services. These integrations enable core functionality of the platform, including payment processing, email delivery, and cloud hosting.

7.1 Integrated Third-Party Services. As of the Effective Date, the Services integrate with the following third-party services:

7.2 No Responsibility for Third-Party Services. Trade License HQ is not responsible for the availability, reliability, accuracy, performance, security, or content of any third-party service. Each third-party service is operated independently and is subject to its own terms of service, privacy policy, and operational practices, over which Trade License HQ has no control.

7.3 Third-Party Outages. Outages, disruptions, or degraded performance of any third-party service may affect the availability or functionality of the Services, including email delivery. Trade License HQ shall not be liable for any loss or damage arising from the unavailability or underperformance of any third-party service.

7.4 Third-Party Terms. Your use of the Services may be subject to the terms of service and privacy policies of applicable third-party services. By using the Services, you agree to review and comply with any applicable third-party terms. Links to key third-party policies:

8. Limitation of Liability

This Section 8 summarizes and supplements, but does not replace or limit, the Limitation of Liability provisions set forth in the Trade License HQ Terms of Service, which are incorporated herein by reference.

8.1 No Consequential Damages. To the fullest extent permitted by applicable law, Trade License HQ, its parent, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable to you or any third party for any indirect, incidental, special, consequential, punitive, or exemplary damages of any kind, including without limitation:

Lost profits or revenue;
Loss of business or business opportunity;
Regulatory fines, penalties, citations, or sanctions;
Costs of obtaining alternative products or services;
Business interruption or project delays;
Loss of or damage to goodwill or reputation;
Loss of data; or
Any other intangible losses;

arising out of or in connection with your use of the Services, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if Trade License HQ has been advised of the possibility of such damages.

8.2 Compliance Failures. Without limiting the generality of Section 8.1, Trade License HQ expressly disclaims all liability for any compliance failure, missed expiry deadline, failure to obtain or renew any required licence, certification, or permit, regulatory violation, government enforcement action, or any fine, penalty, or sanction imposed by any government or regulatory authority, whether or not you relied on the Services in connection with such failure.

8.3 Cap on Liability. To the fullest extent permitted by applicable law, Trade License HQ's total aggregate liability to you for any claims arising under or in connection with this Disclaimer or the Services shall not exceed the amounts paid by you to Trade License HQ for the Services during the twelve (12)-month period immediately preceding the event giving rise to the claim, as further described in the Terms of Service.

8.4 Essential Basis. You acknowledge that the limitations and exclusions of liability set forth in this Disclaimer and in the Terms of Service reflect a reasonable allocation of risk between the parties and form an essential basis of the bargain between you and Trade License HQ. Trade License HQ would not provide the Services at the pricing offered without these limitations.

8.5 Jurisdictional Variations. Some jurisdictions do not permit the exclusion or limitation of certain warranties or liabilities. To the extent that such exclusions or limitations are not permitted under applicable law, they shall apply to you only to the maximum extent permitted by such law.

9. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided "AS IS" and "AS AVAILABLE," without warranty of any kind, express or implied.

Trade License HQ specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and all warranties arising from course of dealing, usage, or trade practice. Trade License HQ does not warrant that:

The Services will be uninterrupted, error-free, or free from bugs, viruses, or other harmful components;
The Services will be available at any particular time or from any particular location;
Any information or data obtained through the Services will be accurate, complete, current, or reliable;
The Services will meet your specific business requirements or compliance obligations; or
Defects in the Services will be corrected.

Your use of the Services is entirely at your own risk.

10. Governing Law

This Disclaimer, and any dispute or claim arising out of or in connection with it or its subject matter, shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of laws principles.

Any legal action or proceeding arising out of or relating to this Disclaimer shall be brought exclusively in the federal or state courts of competent jurisdiction located in Michigan, and you hereby irrevocably consent to the personal jurisdiction of such courts for such purposes.

11. Changes to This Disclaimer

Trade License HQ reserves the right to update or modify this Disclaimer at any time. We will notify you of material changes by posting the updated Disclaimer to the Services website with a new effective date, and may provide additional notice via email or in-application notification. Your continued use of the Services following any update constitutes your acceptance of the revised Disclaimer. If you do not agree to any changes, you must discontinue use of the Services.
